Coach onboarding contract

Between the undersigned

Lowdout, a SASU with share capital of €500, registered in the Paris Trade and Companies Register under number 994 685 550, with its registered office at 60 rue François 1er, 75008 Paris, represented by its Chairman, Mr Eliott Le Duc, hereinafter referred to as "Lowdout" or "the Platform",

and the Coach, whose identity is made known to Lowdout as part of the registration process, hereinafter referred to as "the Coach",

it is agreed as follows.

Preamble

Lowdout operates the Weclimb platform, accessible at weclimb.gg, dedicated to putting competitive video game players in touch with independent coaches. The purpose of this contract is to formalise the Coach's specific commitments in terms of fair play, non-use of undeclared artificial intelligence and non-disintermediation. The Coach acknowledges having read Lowdout's General Terms and Conditions of Use and General Terms and Conditions of Sale, and also accepts the additional undertakings set out below.

Article 1: Commitment to authentic coaching

Throughout their registration on the Platform, Coaches undertake not to:

• to provide a boosting, duo-boosting or smurfing service for the benefit of a Player;
• logging into a Player's Riot Games account for any reason;
• to offer a Player seeking its help services consisting of raising the Player's rank without transmitting knowledge.

Article 2: Integrity of the account

The Coach undertakes to report to Lowdout, within forty-eight (48) hours of their occurrence, any attempt by a Player to communicate Riot Games identifiers, as well as any duo-boost proposal received via or in connection with the Platform.

Article 3: Commitment to fight undeclared generative artificial intelligence

Given the educational and personalised nature of the coaching service, the Coach undertakes :

• to personally produce, in a substantial manner, the content of each analysis, review, feedback or comment that he delivers to a Player;
• not to use, without prior express declaration to Lowdout, a generative artificial intelligence system, whether it be a language model, a conversational assistant, a text generation tool or any other similar device, to produce all or part of the content delivered to a Player;
• to authorise Lowdout to subject the Coach's production to tools for detecting content generated by artificial intelligence, and to cooperate in good faith with any verification procedure, as part of the Platform's anti-fraud system;
• to use, when requested, the Lowdout Companion application or any other tool made available by Lowdout to produce traces of active presence (annotations on the VOD, time spent on the service, user interactions).

The Coach acknowledges that generative artificial intelligence, when used as an internal assistant to the Coach (for example to facilitate the drafting of an outline, to structure a feedback, or to suggest angles of analysis), is not in itself prohibited by the present article, as long as the final content delivered to the Player results from a substantial and personalised human analysis. In all cases, the Coach remains responsible for the content he delivers.

Article 4: Graduated penalties

If the Coach breaches any of the above commitments, Lowdout will apply a scale of sanctions depending on the seriousness and repetition of the breach:

1. Written warning sent to the Coach by electronic means, indicating the breach observed and inviting the Coach to submit his observations within seven (7) days;
2. Temporary suspension of the Coach account for a period of between seven (7) and ninety (90) days, in the event of serious misconduct following a warning or in the event of an initially serious misconduct;
3. Definitive termination of this contract and closure of the Coach account, without compensation, in the event of a particularly serious breach, in the event of a repeat offence, or in the event of proven fraud;
4. Retention of unpaid sums. Where fraud has vitiated the purpose of a service already paid by the Player but not yet paid to the Coach, Lowdout is entitled to withhold these sums and refund them to the Player concerned;
5. Reporting of boosting, account sharing or outright fraud to Riot Games Inc. in accordance with the commitments made by Lowdout as part of its partnership with Riot Games.

Before applying any sanction other than a written warning, Lowdout will send the Coach a reasoned notice and give him or her seven (7) days to present his or her observations, except in the event of serious and blatant fraud that puts one or more Players or the Platform itself in immediate danger.

Article 4 bis : Statut juridique et fiscal du Coach

Indépendance. Le Coach intervient sur la Plateforme Weclimb en qualité de prestataire de services indépendant. Il fournit ses prestations en son nom propre, sous sa seule responsabilité, dans le cadre de son statut juridique personnel (micro-entrepreneur, entrepreneur individuel, société, ou tout statut équivalent reconnu dans son pays de résidence fiscale). Le présent contrat ne constitue en aucune manière un contrat de travail, un contrat d'agence commerciale, un mandat ni une société en participation.

Déclarations préalables. Le Coach déclare et garantit à Lowdout qu'il est régulièrement immatriculé auprès des autorités compétentes de son pays de résidence et qu'il est en mesure de délivrer ses prestations dans le respect de la législation applicable. Il fournit à Lowdout, au moment de son inscription et à toute réquisition justifiée, copie des justificatifs correspondants.

Obligations fiscales et sociales. Le Coach demeure seul responsable de la déclaration et du paiement de l'ensemble des taxes, impôts, contributions sociales et redevances qui sont dus à raison de son activité de coaching, conformément à la législation du pays dans lequel il est résident fiscal. Lowdout n'agit en aucune manière comme employeur ni comme collecteur d'impôt à la source au profit du Coach.

Article 242 bis du Code général des impôts. Le Coach reconnaît que Lowdout opère en qualité d'opérateur de plateforme d'économie collaborative au sens des articles 242 bis et 1649 quater A bis du Code général des impôts (lorsque le Coach est résident fiscal de France ou y exerce son activité). À ce titre, Lowdout adresse chaque année au Coach un récapitulatif annuel du montant brut des sommes encaissées par son intermédiaire, ainsi qu'à l'administration fiscale française la déclaration récapitulative correspondante. Le Coach est invité à consulter la documentation publique de l'administration fiscale pour identifier le régime applicable à son activité.

Absence d'exclusivité. Le Coach est libre de proposer ses prestations de coaching sur d'autres plateformes ou en direct, sans restriction d'exclusivité. Cette liberté est sans préjudice des engagements du présent contrat, et notamment de la loyauté due à la Plateforme et de l'interdiction de désintermédier les Joueurs rencontrés via la Plateforme dans les conditions précisées à l'article 4 quater ci-après.

Article 4 ter : Rémunération et reversement

Prix des prestations. Le Coach fixe librement le prix de chacune de ses prestations dans son catalogue, dans les limites raisonnables admises par la Plateforme. Le prix affiché au Joueur inclut toutes les sommes dues, à l'exception de la commission de Lowdout qui est précisée au paragraphe p2.

Commission de Lowdout. Une commission est prélevée par Lowdout sur chaque prestation effectivement délivrée et acceptée par le Joueur. Le taux nominal de commission s'établit, à la date du présent contrat, comme suit, en fonction du volume cumulé d'affaires hors taxes réalisé par le Coach sur la Plateforme au cours des douze (12) derniers mois glissants : (i) Standard — vingt-deux pour cent (22 %) ; (ii) Confirmé — vingt pour cent (20 %) ; (iii) Senior — dix-sept pour cent (17 %) ; (iv) Élite — quinze pour cent (15 %). Les seuils de volume associés à chaque palier sont communiqués au Coach dans son espace personnel et peuvent être révisés par Lowdout dans un délai de prévenance d'au moins trente (30) jours.

Programme Founding Coachs. Les premiers Coachs ayant rejoint la Plateforme dans les conditions précisées par leur lettre d'engagement bénéficient d'un taux de commission préférentiel de quinze pour cent (15 %), aligné sur le palier Élite, pour une durée déterminée par ladite lettre.

Modalités de reversement. Jusqu'à l'entrée en service du dispositif de comptes connectés visé à l'article 4 des CGV, les sommes nettes dues au Coach sont reversées manuellement par Lowdout, à intervalles réguliers communiqués au Coach et au plus tard mensuellement. À l'activation du dispositif de comptes connectés, le reversement deviendra automatique selon les conditions précisées dans l'avenant correspondant.

Rétentions. Lowdout est en droit de retenir les sommes nettes dues au Coach en cas de litige en cours portant sur la prestation concernée, le temps de l'instruction de la réclamation prévue à l'article 14 des CGV, et de procéder, le cas échéant, au remboursement intégral du Joueur. Cette rétention ne porte pas atteinte aux sommes nettes définitivement acquises au Coach sur d'autres prestations non litigieuses.

Article 4 quater : Loyauté envers la Plateforme et anti-désintermédiation

Engagement de loyauté. Le Coach s'engage, pour la durée du présent contrat et pendant les six (6) mois suivant la fin de la relation contractuelle avec un Joueur rencontré via la Plateforme, à ne pas démarcher ce Joueur en vue d'une prestation de coaching réalisée hors de la Plateforme à un prix inférieur à celui pratiqué sur la Plateforme, ni à lui proposer de reverser tout ou partie de la commission de Lowdout.

Communications hors Plateforme. Pour préserver l'intégrité du dispositif de réclamations et la sécurité des Joueurs, le Coach s'engage à conduire l'ensemble des échanges relatifs à une prestation Weclimb au sein des outils mis à disposition par la Plateforme (messagerie interne, salle de visioconférence Daily.co, espace de livraison de review). Il s'interdit, en particulier, de solliciter d'un Joueur la communication d'un numéro de téléphone, d'un identifiant Discord personnel, ou de toute autre coordonnée hors Plateforme à seule fin de contourner les fonctionnalités officielles.

Sanctions. Tout manquement caractérisé aux engagements du présent article expose le Coach à l'échelle de sanctions prévue à l'article 4, sans préjudice de l'éventuelle réparation due à Lowdout au titre du préjudice subi.

Article 4 quinquies : Engagements opérationnels du Coach

Pour garantir la qualité du Service rendu aux Joueurs, le Coach s'engage :

• à se rendre, à l'heure convenue, dans la salle de visioconférence Weclimb mise à sa disposition pour chaque session live confirmée, et à respecter le créneau réservé ;
• à reconnaître et accepter que toute session live est enregistrée par la Plateforme conformément à l'article 16 des CGU, à des fins d'exécution du contrat, et que le replay correspondant est rendu accessible au Joueur et, le cas échéant, à la Plateforme aux fins d'instruction des réclamations ;
• à respecter sans réserve l'interdiction de représailles prévue à l'article 5 du présent contrat et la liberté de notation des Joueurs prévue à l'article 15 des CGU ;
• à informer la Plateforme et le Joueur dans les meilleurs délais en cas d'empêchement de dernière minute, étant rappelé que l'annulation à l'initiative du Coach donne lieu au remboursement intégral du Joueur dans les conditions de l'article 13 des CGV ;
• à prendre acte du système interne de prévention des comportements abusifs (« strikes ») prévu à l'article 17 des CGU, dont l'application au Coach peut entraîner une diminution de sa visibilité au sein du moteur WeSearch.

Article 5: Rating of services and prohibition of retaliation

The Coach acknowledges the public rating mechanism implemented by Lowdout, by which the Player, at the end of every paid service, may award the Coach a score between 1 and 5 stars, accompanied by an optional written comment. In this respect, the Coach undertakes:

• not to make the delivery, content, quality or price of a service conditional upon the substance or content of the rating that the Player intends to award;
• not to solicit from the Player the modification, withdrawal or improvement of a rating already submitted, nor the promise of a favourable rating prior to the delivery of a service;
• not to offer the Player any discount, advantage, additional service or any other consideration in exchange for a favourable rating;
• not to instrumentalise the rating system to harm another Coach (creation of fictitious Player accounts, concerted manoeuvres, etc.);

The Coach acknowledges that the rating and comment, once submitted by the Player, are final and may neither be modified nor deleted at the Coach's request. Lowdout alone retains the ability to moderate any comment manifestly contrary to Article 15 of the General Terms and Conditions of Use and to recompute the Coach's average accordingly.

Any breach by the Coach of the undertakings set out above constitutes serious misconduct that may give rise to the application of the scale of sanctions provided for in Article 4 of this contract.

Article 6: Applicable law and jurisdiction

This contract is governed by French law. In the absence of an amicable agreement, any dispute arising from its interpretation or performance will be referred to the competent courts within the jurisdiction of the Paris Court of Appeal.
